These Terms of Service govern access to and use of XKEMA, including the website, platform, applications and related services.

1. Acceptance of the Terms

By accessing or using XKEMA, you acknowledge that you have read, understood and agreed to be bound by these Terms of Service, our Privacy Policy, Cookies Policy and any other applicable policies.

If you do not agree with these Terms, you must not use XKEMA.

2. Eligibility and accounts

You may only use XKEMA if you have legal capacity to enter into binding agreements under applicable law.

Users are responsible for maintaining the confidentiality and security of their credentials, accounts, authentication methods and access permissions.

You are responsible for all activities carried out under your account.

3. Services provided

XKEMA provides software, infrastructure and related tools intended for:

• Hardware engineering documentation management
• Component and BOM traceability
• Collaboration and project management
• Technical document storage and organisation
• Engineering workflows and related tooling

Certain features may be experimental, beta, limited, modified or discontinued at any time.

4. Acceptable use

Users agree not to:

• Use XKEMA for unlawful, fraudulent or abusive purposes.
• Upload malware, malicious code or harmful content.
• Attempt to gain unauthorised access to systems, infrastructure or accounts.
• Interfere with platform availability, integrity or security.
• Reverse engineer, exploit or misuse the platform.
• Use XKEMA in violation of export control, intellectual property or confidentiality laws.
• Upload or distribute content you do not have the legal right to use.

5. User content and uploaded data

Users retain ownership of the files, documentation, content, engineering data, BOMs, technical assets and other information uploaded to XKEMA.

By uploading content, users grant XKEMA a limited, non-exclusive, revocable licence to host, process, store, transmit and display such content solely for the purpose of operating, maintaining and improving the services.

Users are solely responsible for ensuring they have the necessary rights, permissions and legal basis to upload and process such content.

6. Intellectual property rights

XKEMA, including its software, interfaces, infrastructure, branding, visual identity, source code, databases, documentation and associated technology, is protected by intellectual and industrial property laws.

Except where explicitly authorised, users may not reproduce, distribute, modify, decompile, extract or commercially exploit any part of XKEMA.

7. Availability and support

XKEMA endeavours to maintain reasonable service availability, reliability and security.

However, XKEMA does not guarantee uninterrupted operation, continuous availability or error-free functionality.

Maintenance, updates, outages, security incidents, infrastructure failures or third-party service interruptions may temporarily affect availability.

8. Disclaimer of warranties

XKEMA is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, XKEMA disclaims all warranties, whether express, implied or statutory, including warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Continuous availability or uptime
• Accuracy or absence of defects

9. Limitation of liability

To the fullest extent permitted by applicable law, XKEMA shall not be liable for:

• Indirect, incidental or consequential damages.
• Loss of profits, revenue, contracts or business opportunities.
• Loss, corruption or unavailability of data.
• Business interruption or operational disruption.
• Damages arising from third-party services or infrastructure providers.

Users acknowledge that use of the platform is at their own risk.

10. Security and backups

XKEMA implements reasonable technical and organisational security measures.

Nevertheless, no internet-based system can be guaranteed to be completely secure.

Users are responsible for maintaining independent backups of critical data and documentation.

11. Suspension and termination

XKEMA reserves the right to suspend, restrict or terminate access to the platform if users violate these Terms, applicable laws or platform security requirements.

XKEMA may also suspend or discontinue services, features or accounts for operational, legal, technical or security reasons.

12. Third-party services

XKEMA may rely on third-party providers, infrastructure services, cloud hosting, analytics, authentication or external integrations.

XKEMA is not responsible for the availability, functionality or security of third-party services beyond its reasonable control.

13. Modifications to the Terms

XKEMA may update these Terms of Service periodically.

Material changes may be communicated through the website, platform notifications or email where appropriate.

Continued use of XKEMA after updates constitutes acceptance of the revised Terms.

14. Governing law and jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of Spain.

Any dispute relating to XKEMA shall be submitted to the competent courts and tribunals in accordance with applicable law.
